
Google's Off-Balance Sheet Guarantees Surge Sixfold in Nine Months to $43.8 Billion, Trading 'Financial Backstops' for TPU Chip Orders

To support massive artificial intelligence investments and expand its market share in self-developed chips, Google is deeply leveraging Wall Street's financial engineering tools, locking in future business growth by significantly increasing its off-balance sheet risk exposure.
Alphabet, Google's parent company, disclosed last week that the scale of potential financial guarantees it provides against defaults by data center tenants has climbed to $43.8 billion. This figure, referred to as 'notional value,' represents a nearly six-fold increase from $6.5 billion at the end of September last year. Through such 'financial backstop' commitments, Google effectively acts as an implicit guarantor for data center developers, enabling them to secure cheaper debt financing and accelerate capacity construction.
This strategy marks a sharp shift in Alphabet's capital structure. To promote its Tensor Processing Units (TPUs) to customers like Anthropic as an alternative to Nvidia's AI chips, Google is bearing tens of billions of dollars in off-balance sheet lease liabilities. Under the unprecedented pressure of AI capital expenditures, the company's long-standing simple balance sheet—relying on abundant cash and unafraid of debt—has become history.
Despite the huge notional exposure, the actual fair value recorded on Google's balance sheet is only $815 million. Credit rating agencies and market analysts point out that Google's strong cash flow is sufficient to support this expansion strategy, and the company is hedging risks through methods such as acquiring warrants from developers, indicating that its actual financial impact remains highly controlled.
Capital Structure Reshaping and the 'Backstop' Mechanism
Over the past year, massive AI investments have forced Alphabet to seek financing beyond its own cash, fundamentally changing its capital structure.
As of June 30, the company's debt scale had increased from $23.6 billion a year ago to $98 billion, and it issued stock for the first time in over two decades. Last week's earnings report further highlighted funding pressures, with Alphabet recording free cash flow consumption in the second quarter for the first time as a public company.
In this context, Google has begun deploying TPU chips into data centers operated by third parties. These third parties are often former cryptocurrency mining companies transitioning into AI facilities, such as Hut 8 and TeraWulf. In many transaction structures, the cloud startup Fluidstack is responsible for leasing and operating planned data centers, loading them with TPU chips, and then renting out the computing power to Anthropic. According to insiders, Alphabet executives look through Fluidstack's lease agreements when assessing guarantees, considering the risk of default or bankruptcy by the end user.
Exchanging Guarantees for Chip Sales
The core motivation for Google assuming these off-balance sheet commitments is to expand TPU sales. According to The Information, citing two people directly familiar with the company's decisions, Google's internal calculations show that future revenue from TPU sales will far exceed the financial obligations generated by providing lease guarantees for the data centers housing these chips. One insider stated that company executives are convinced this financial calculation is extremely favorable for Alphabet.
Insiders pointed out that Alphabet has currently provided guarantees for leases covering approximately ten projects with a total capacity of about 2.4 gigawatts. As these projects are not yet completed, Alphabet's guarantees have not yet taken effect. Notably, the TPUs actually deployed in the data centers are financed separately through another mechanism, with Broadcom, which participates in TPU design, providing its own guarantees in many agreements.
Surge in Risk Exposure and Fair Value Assessment
The $43.8 billion notional value disclosed by Google in its securities filings represents the maximum payment obligation it may face in the future. However, the $815 million fair value recorded on the balance sheet represents Google's estimated actual likely payment amount. This derivative position is accounted for at fair value, and changes directly affect Google's income statement. Alphabet's estimation of fair value is based on its assumptions regarding default probability, timing of default, and potentially recoverable amounts.
Jordan Chalfin, Head of Technology Research at CreditSights, stated that there is no need to be overly concerned about Alphabet's notional figures at present. In an interview, he pointed out that the disclosed figures represent the maximum possible loss, and 'there are multiple factors that can mitigate this exposure.' If a tenant defaults, Google typically has the right to take over the underlying lease for its own or its customers' use, thereby gaining access to scarce computing capacity, or sublet the space to others. Furthermore, many lease terms span up to 15 years, and potential exposure will decrease over time.
Industry Practice and Rating Agency Endorsement
Google's approach reflects a trend in financial engineering supporting AI infrastructure construction. Its competitors are also adopting similar strategies; for example, Meta builds data centers in Louisiana and Texas through minority equity joint ventures to keep them off its balance sheet, and Oracle also relies on off-balance sheet arrangements to support its expansion.
In addition to existing guarantees, giants like Alphabet have signed hundreds of billions of dollars in off-balance sheet data center lease agreements that have not yet commenced. As of the end of June, Alphabet's total amount of such not-yet-commenced leases reached $85.2 billion. In addition, its backup financial guarantees for partners to acquire electricity and energy equipment amounted to another $7.6 billion, and it has agreed to provide an additional $24.1 billion in future guarantees once terms are finalized.
Anubhav Arora, a credit analyst at Fitch Ratings, emphasized the importance of Google's financial strength to the ratings of these debts. He explained that Fitch 'relies heavily on the guarantees provided by Google' when assigning investment-grade ratings to these projects. He expects this trend to continue, stating that Google generated over $185 billion in operating cash flow in the past 12 months and still possesses strong financing capabilities.
Locking in Upside: Seeking Warrants to Hedge Risk
While assuming default risk, Google has also structured transactions to share in upside gains if data center developers' stock prices perform well. In some transactions, Google exchanged guarantees for equity warrants.
For example, warrants held by Google allow it to own 14% of TeraWulf, which is building a data center for Fluidstack in Barker, New York. In a similar arrangement with Cipher Digital, Google also holds warrants with a potential value equivalent to 5.4% of the company's shares. If Google chooses to terminate the guarantee, it may need to make a large one-time payment to bondholders, but this payment would effectively convert into an ownership interest in the project.
However, there are exceptions to this model. Fitch Ratings noted that in the Hut 8 transaction, if Fluidstack defaults, Google will bear the full payments for the 15-year lease, and neither party can terminate obligations if significant construction delays occur. Asher Genoot, CEO of Hut 8, revealed in a conference call that the data center lease contract is valued at $7 billion, plus $2 billion in costs such as electricity and property tax insurance, and that the company did not provide warrants to Google. According to insiders, this deal was an exceptional case and is unlikely to be repeated in the future.
