腾讯音乐-SW 拟收购喜马拉雅控股

According to the Zhitong Finance APP, Tencent Music-SW (01698) announced that on June 10, 2025, the company entered into a merger agreement and plan with Ximalaya Inc. and several other contracting parties regarding its proposed acquisition of Ximalaya.

Ximalaya is one of China's leading online audio platforms. Upon the completion of the transaction, Ximalaya will become a wholly-owned subsidiary of the company. The completion of the transaction is subject to the approval of relevant regulatory authorities and several other closing conditions. At the time of the transaction's completion (including other steps), the equity securities held by relevant shareholders of Ximalaya and participants in Ximalaya's employee stock ownership plan must be canceled, in exchange for a total consideration of the following combination (1) cash totaling $1.26 billion; (2) shares of Class A common stock to be issued by the company, not exceeding 5.1986% of the total number of common shares issued and outstanding as of the last five trading days prior to the completion of the transaction; and (3) subject to the terms of the merger agreement, up to 0.37% of such Class A common stock will be issued in batches to the founding shareholders (as defined in the merger agreement) at and after the closing.
