Alibaba-W has completed the exchange offer for the outstanding U.S. dollar-denominated senior unsecured notes issued in November 2024. This exchange offer involves up to $1 billion of 4.875% senior notes due 2030, $1.15 billion of 5.250% senior notes due 2035, and $500 million of 5.625% senior notes due 2054. As of October 7, 2025, holders have submitted 99.6% and 99.2% of the outstanding notes for exchange, and the submitted notes have been canceled
According to the Zhitong Finance APP, Alibaba-W (09988) announced that it has completed the exchange offer for its outstanding U.S. dollar-denominated senior unsecured notes issued in November 2024.
On September 4, 2025, Alibaba launched the exchange offer for (i) senior notes with a total principal amount of up to $1 billion maturing in 2030 at a rate of 4.875%, (ii) senior notes with a total principal amount of up to $1.15 billion maturing in 2035 at a rate of 5.250%, and (iii) senior notes with a total principal amount of up to $500 million maturing in 2054 at a rate of 5.625%. These notes were registered under the U.S. Securities Act of 1933 and its amendments, in exchange for an equal principal amount of outstanding senior notes maturing in 2030 at a rate of 4.875%, maturing in 2035 at a rate of 5.250%, and maturing in 2054 at a rate of 5.625% (collectively referred to as "Outstanding Notes"), which were issued in a transaction exempt from registration under U.S. securities laws in November 2024.
The exchange offer is valid until 5:00 PM New York City time on October 2, 2025, and the validity of bids through the guaranteed delivery procedure will expire at 5:00 PM New York City time on October 7, 2025. According to the final tally by the exchange agent for the exchange offer, as of 5:00 PM New York City time on October 7, 2025, holders of (i) $995.7 million or 99.6% of the outstanding senior notes maturing in 2030 at a rate of 4.875%, (ii) $1.145 billion or 99.6% of the outstanding senior notes maturing in 2035 at a rate of 5.25%, and (iii) $496 million or 99.2% of the outstanding senior notes maturing in 2054 at a rate of 5.625% have submitted their outstanding notes for exchange (collectively referred to as "Submitted Notes").
